Article I - Meetings

Section 1: Meeting Notice

The meetings shall be at a time and place designated by the Executive Committee with written notice provided to each member at least fourteen (14) days prior to the meeting.

Section 2: Meeting Procedures

Meetings will be conducted according to the most recent edition of Robert's Rules of Order.

Section 3: Special Meetings

A. Special meetings may be called by the Executive Committee as the need arises.

B. Written notice of special meetings must be provided at least seven (7) days prior to such a meeting, except in a severe crisis when the majority of the Executive Committee may order a special meeting on lesser notice.

Article II - Election of Officers

Section 1: At the annual meeting, the Leadership Development Committee shall place in nomination a slate of candidates for election to office to fill expiring terms.

Section 2: Nominations may be made from the floor provided the nominee has given prior consent to serve.

Section 3: Vacant offices may be filled by nomination from the floor and election at any regular or special meeting.

Section 4: Election shall be by a majority of the members in good standing present, who have paid their membership dues by the start of the annual meeting.

Article III - Committees

Section 1: Faculty Advisory Committee

Faculty Advisory Committee - meets periodically with the Provost in a consultative and advisory capacity in order to accomplish the purposes of the Association as set forth in Article II of the Constitution of the Gay-Lesbian-Bi-Transgendered Faculty/Staff Association.

A. The Faculty Advisory Committee shall consist of no less than three (3) members, including the chairperson.

B. The committee shall be responsible for reviewing all issues of specific interest to gay-lesbian-bi-transgendered faculty at Michigan State University.

C. The committee shall report at meetings of the Association on a regular basis.

Section 2: Staff Advisory Committee

Staff Advisory Committee - meets periodically with the Vice President for Business and Finance in a consultative and advisory capacity in order to accomplish the purposes of the Association as set forth in Article II of the Constitution of the Gay-Lesbian-Bi-Transgendered Faculty/Staff Association.

A. The Staff Advisory Committee shall consist of no less than three members, including the chairperson.

B. The committee shall be responsible for reviewing all issues of specific interest to gay-lesbian-bi-transgendered staff members at Michigan State University.

C. The committee shall report at meetings of the Association on a regular basis.

Section 3: Leadership Development Committee

A. The Leadership Development Committee shall perform the following duties:

1) Maintain a list of potential candidates for officers and committee chairs.

2) With the assistance of the Executive Committee members, contact potential candidates throughout the year to determine their interest and willingness to serve.

3) Advise the Executive Committee of strategies and activities by which the Association might expand the pool of potential candidates, mentor the development of those potential candidates, and remove barriers to them serving.

4) At each annual meeting they shall place in nomination a slate of candidates for all vacant offices for the coming year.

5) When necessary, they shall place in nomination candidates for any vacant offices as might occur.

6) The committee shall strive to present slates of candidates which are representative of the diversity of the membership.

B. The Leadership Development Committee shall consist of not less than three (3) members. Leadership Development Committee members shall not serve simultaneously as members of the Executive Committee.

Section 4: Rules Committee

The Rules Committee annually reviews the Association's Constitution and Bylaws.

A. The Rules Committee shall consist of not less than three (3) members including the chairperson.

B. The Rules Committee shall receive and write all proposals for changes in, or amendments to the Association's Constitution and Bylaws. The Committee shall report to the Executive Committee and to the membership for approval.

Article IV - Amendments

These bylaws may be amended at any meeting of the Association, provided copies of all proposed amendments have been furnished to all paid members at least fourteen (14) days prior to such meeting. Mail ballots shall be accepted, provided they are received by the Secretary prior to the start of the meeting. Amendments must be approved by at least 2/3 of the members casting ballots.
