Business Enterprises

This course touches upon all manner of business organizations: sole proprietorships, partnerships, limited partnerships, corporations and limited liability companies.

The bulk of the course, however, deals with issues relating to corporations where ownership is normally separated from management. The focus is on Delaware law which is by far the leading corporate jurisdiction and the source of most modern corporate law doctrine and developments.

Most of the course deals with the tension between shareholders as owners and its directors, who are subject to well developed concepts of fiduciary duties to the corporation and all shareholders. Our cases deal almost exclusively with state law, leaving federal securities and other laws to subsequent courses.
